Many attorneys are approached by non-profits to serve on a board, or have clients in other matters that serve on a nonprofit board that turn to them for advice even when nonprofit organizations are not the attorney’s area of concentration or practice.
This CLE will provide attorneys with a basic understanding of the legal landscape that apply to non-profit organizations. It will explore choice of form/entity issues, obtaining tax exempt status, governance matters such as fiduciary duties of directors, board committees and board policies, required bylaws provisions, and record keeping. The course will also highlight prohibited activities, the regulation of fundraising and registration and reporting requirements, the role of the Attorney General and end of life issues, among other matters.
