This seminar will explore and discuss the legal and ethical obligations of directors of nonprofit corporations, as well as attorneys who represent those corporations. Topics will include directors’ fiduciary duties of competence and loyalty, and real life situations involving those duties. We will also discuss the unique challenges for attorneys presented by conflict of interest transactions between a board member and an organization.


Trever Asam, Partner at Cades Schutte LLP
Trever K. Asam is a partner at Cades Schutte. He represents clients in tax controversies and disputes with the IRS and the Hawaii State Department of Taxation. He handles audits, administrative appeals, and tax litigation in the federal and state courts, including the courts of appeal. Mr. Asam also advises nonprofit and tax-exempt organizations on issues including obtaining tax exemption, addressing unrelated business income, and using joint ventures and subsidiary organizations. He currently serves as the firm's pro bono coordinator.

Hugh Jones,
In House Legal Counsel at the University of Hawaiii Foundation

Hugh R. Jones is In House Legal Counsel at the University of Hawaii Foundation. 

Jones was formerly a Senior Deputy Attorney General in the Tax & Charities Division of the Department of the Attorney General. As a senior deputy attorney general, Jones was responsible for providing regulatory oversight over corporate charities and charitable trusts, and over their professional fundraising and charitable fundraising practices. 

Jones authorized several recent legislative acts that affect nonprofit corporation governance matters and “life cycle” events and conflicts of interest transactions. Jones also drafted Hawaii’s charitable solicitation registration law. 

Jones has been a visiting professor of law at William S. Richardson School of Law and was President of the HSBA in 2010.
