Kerry Brian Flowers, Esq., Attorney, Flowers and O’Brien Law Firm, New Jersey

Mr. Flowers is a graduate of Washington College, Chestertown, Maryland (1976) and New York Law School, cum laude, (1983). Upon graduation from college, he was employed by the New York State Office of Court Administration as an analyst where he worked on the development of the first automated court record keeping system in the United States for the New York City Criminal Court System.  

After graduating from law school, he joined the staff of a large Manhattan-based real estate developer, Time Equities, Inc., as associate, and later, senior general counsel. While at Time Equities, Inc. he worked a variety of development projects including the acquisition, financing and conversion of Tudor City into a residential cooperative and the acquisition and financing of a large office and industrial park portfolio located in six states. Moving to private practice, he was first associated with the Woodbridge, New Jersey firm of Greenbaum Rowe Smith Ravin & Davis and later became a partner in the firm where he developed a base of private clients that he still works with today. In 1995, he moved his practice to a larger regional firm, Saul Ewing, in the firm’s Princeton, New Jersey office, returning to Northern New Jersey in 1999 to practice with the firm Krugman & Kailes in Saddle Brook, New Jersey.  

Krugman & Kailes subsequently merged with McCarter & English, located in Newark, New Jersey, during which time Mr. Flowers also served as the General Counsel for the New Jersey Builders Association. In December, 2006, he formed his own firm, Flowers & O’Brien with W. Mark O’ Brien, Esq.  The firm is now of counsel to the firm of Kates Nussman Ellis Farhi and Earle, LLP. Mr. Flowers and Mr. O’Brien have previously practiced together at Saul Ewing, Krugman & Kailes and McCarter & English. 

Together they focus their business on the representation of small and mid-sized privately owned companies, primarily in the fields of real estate, technology, energy, financing, and private equity.  Given his broad background working with clients on large and complicated matters, Mr. Flowers is able to provide efficient and effective legal advice in an accessible, local environment.  A significant part of his practice includes assisting clients with the structuring and financing of complicated business relationships, including operating agreements, real estate tax appeals, zoning issues, private placement memorandums, sale lease-back transactions, tenants in common agreements, 1031 exchange transactions, representing borrowers in MBS transactions, drafting joint venture agreements, SaaS and back office technical support agreements.  

He has also developed a niche practice representing residential cooperatives, and has been cited as an authority on the cooperative form of ownership by both the Appellate division and the Supreme Courts of New Jersey. He has also represented both Fannie Mae and Freddie Mac with regarding to the placement, and loan workout, of underlying cooperative mortgages He has represented cooperatives in the financing of significant underlying mortgages for participation in mortgage backed securities pools with commercial lenders, banks, insurance companies and brokerage houses. He has also assisted clients with the reorganization of limited dividend cooperatives and condominiums to bring the projects back to market rate status. He is currently working with a large cooperative contemplating the conversion to the condominium form of ownership. 

Mr. Flowers is a member of the New York and New Jersey Bars. The New Jersey, New York and American Bar Associations, as well as the member of the Federal Court, District of New Jersey and Southern District of New York.
